A public offering is the sale of equity or other financial instruments by an organization to the public in order to raise funds for business expansion and investment. Corporate securities offerings in the United States must be registered and approved by the SEC and are usually performed by an investment subscriber.
Generally, any sale of securities to more than 35 persons is considered a public offering, and therefore requires filing of registration statements with appropriate regulatory authorities. The offer price is predetermined and established by the issuing company and the investment bankers who handle the transaction. The term public offer is equally applicable to the initial public offering of a company, as well as subsequent offers.
