MILWAUKEE HEART HOSPITAL, LLC, Delaware limited liability Company ("Owner") and MILWAUKEE HOSPITAL MANAGEMENT, INC., To North Carolina Corporation ("MHMI"), both parties Hereinafter collectively "Parties." WHEREAS, the Owner wishes to obtain the Contract Management Services (Defined below) of MHMI to administer its general acute care hospital in the diagnosis and treatment of cardiovascular diseases and Vascular surgery located in the greater Milwaukee, Wisconsin area (the "Hospital"); MHMI's affiliates, including the sole shareholder of MHMI MedCath Incorporated ("MedCath"), have a substantial amount of experience and experience in the development and operation of hospitals similar to the Hospital as a result of its development and operation of heart hospitals in The United States; CONSIDERING THAT, the Owner and MHMI mutually wish that such services will be made available to the Owner.
